How signals are detected
- SEC-tagged
- The company classified the event itself: the form type (an NT 10-Q is, by definition, a late-filing notice) or the item numbers listed on an 8-K (Item 2.05 exit or disposal costs, Item 4.01 auditor change, Item 4.02 non-reliance…). These have no wording-based false positives.
- Language match
- A phrase that typically announces the event, found in the filing text. Forward-looking-statement and safe-harbor boilerplate is removed first, and sentences that are hypothetical ("we may implement layoffs", "if we fail to regain compliance", "there can be no assurance") or negated ("we have not identified a material weakness") are ignored. Always read the highlighted sentence and the filing before acting on it.
- Coverage
- 8-K, 6-K, 10-K, 10-Q, 20-F and NT filings collected by SEC Finder (the most recent 365 days). Text matching reads the main document and press-release exhibits. Not financial advice; verify on SEC.gov.
